1. General Provisions1.1 The name of the club is Bitradyx Vault Club (“the Club”).
1.2 The Club is a private, non-commercial association of individuals pooling and managing digital assets for investment purposes.
1.3 The Club is not a legal entity and operates under private agreements between its members.
1.4 The Club functions based on mutual trust, transparency, and internal decisions.
1.5 The Club may operate crypto wallets, exchange accounts, and other technical tools for fund management.
2. Purpose of the Club2.1 The Club’s mission is to:

4. Vault Management4.1 The Vault is managed solely by Sergej Feifer, the appointed Vault Operator.
4.2 The Vault Operator is authorized to:
5. Contributions and Funds5.1 Contributions are made in fiat or crypto and stored in the Club’s designated wallet (e.g., TrustWallet).
5.2 The Vault Operator is not liable for trading losses unless proven to result from fraud or gross negligence.
5.3 All contributions and transactions are logged and may be reviewed upon request.
6. Governance and Voting6.1 All structural decisions (e.g. change of operator, dissolution) require a majority vote.
6.2 Each member has one vote regardless of contribution amount.
6.3 Votes may be conducted in person or electronically.
6.4 The Founder holds veto power on matters affecting Club governance.
7. Liability and Disclaimers7.1 The Club is a private cooperative and does not provide licensed financial services.
7.2 Participation is entirely voluntary and at members’ own risk.
7.3 The Vault Operator is not a financial advisor and acts under internal trust-based arrangements.
7.4 The Club does not guarantee profits or investment outcomes.
8. Confidentiality8.1 All member data, contributions, and internal communications are confidential.
8.2 The Vault Operator agrees to maintain privacy and not disclose sensitive data externally.
9. Dissolution of the Club9.1 The Club may be dissolved by 2/3 member vote or at the discretion of the Founder.
9.2 All remaining funds will be distributed proportionally based on each member’s contribution.
10. Withdrawals and Exit10.1 Members may request a partial or full withdrawal by providing 14-day advance written notice.
10.2 Payouts will be processed within a reasonable timeframe, subject to liquidity and current market conditions.
10.3 Members may exit the Club at any time by written request. Upon exit, all rights to voting and reporting cease.
11. Vault Operator Compensation and Contributor Incentives11.1 The Vault Operator receives 50% of net profits from trading operations as compensation.
11.2 A private contributor incentive system operates as follows:
12. Final Provisions12.1 This Charter takes effect upon publication and is valid until amended or dissolved.
12.2 Disputes will be resolved internally through consensus or by arbitration if necessary.
12.3 Any amendments must be approved by majority vote and confirmed by the Founder.

- Contribute funds (in fiat or cryptocurrency);
- Accept associated risks;
- Recognize the Vault Operator’s authority.
- 3.3 Members are not shareholders and have no legal claim to the Club's infrastructure or management. Participation is based on internal agreement only.
4. Vault Management4.1 The Vault is managed solely by Sergej Feifer, the appointed Vault Operator.
4.2 The Vault Operator is authorized to:
- Perform trading and asset allocation;
- Use platforms such as Bybit for execution;
- Rebalance the portfolio at their discretion.
- 4.3 Monthly reports will be made available to members.
- 4.4 Members shall not interfere in operational management unless decided by majority vote.

- 11.4 This system is internal, confidential, and not promoted publicly.
